Intuit's board is composed of 11 members, a majority of whom are not Intuit employees and who are otherwise independent of the company. In addition, all of our Acquisition Committee, Audit and Risk Committee, Compensation and Organizational Development Committee, and Nominating and Governance Committee members are independent. In addition, members of Intuit's board operate under the company's Board Code of Ethics.

Ms. Burton has been an Intuit director since 2016 and is Chair of the Nominating and Governance Committee and a member of the Audit and Risk Committee. Ms. Burton joined The Hearst Corporation, one of the nation’s largest global diversified communications companies, in 2002 as Vice President and General Counsel. She was appointed Senior Vice President, General Counsel in 2012, and has served as Executive Vice President and Chief Legal Officer since December 2019. Ms. Burton has responsibility for day-to-day management of the Office of General Counsel, which provides services to all of Hearst’s more than 350 businesses around the world, including legal, compliance, labor relations, government affairs and corporate human resources. She is also one of Hearst’s leaders in establishing worldwide strategic enterprise deals with technology and content partners. Ms. Burton is a member of the CEO’s strategic advisory group, the Hearst Venture Investment Committee and Hearst’s Risk Working Group. She also is involved with Hearst’s innovation program. Prior to joining Hearst, Ms. Burton served as Vice President and Chief Legal Counsel at Cable News Network (CNN). Ms. Burton also serves on the Board of Directors of Hearst and previously served on the Board of Directors of AOL. Her non-profit Board affiliations include the David and Helen Gurley Brown Institute for Media Innovation at Stanford and Columbia Universities, and she is also a trustee of Middlebury College. Ms. Burton holds a Bachelor of Arts degree from Hampshire College and a Juris Doctor degree from Columbia Law School.

A co-founder of Intuit, Mr. Cook served as Intuit’s President and Chief Executive Officer from 1984 to 1994 and served as Chairman of the Board from 1993 to 1998. Mr. Cook was a director of eBay Inc. from 1998 to 2015 where he was a member of the Corporate Governance and Nominating Committee. Mr. Cook was a director of The Procter & Gamble Company from 2000 to 2020 where he was chair of the Innovation & Technology Committee and a member of the Compensation & Leadership Development Committee. Mr. Cook holds a Bachelor of Arts in Economics and Mathematics from the University of Southern California and a Master in Business Administration from Harvard Business School.

Mr. Dalzell has been an Intuit director since 2015 and chairs the Acquisition Committee and is a member of the Audit and Risk Committee. Mr. Richard Dalzell was Senior Vice President and Chief Information Officer at Amazon.com, Inc., an online retailer, until his retirement in 2007. Previously, Mr. Dalzell served in numerous other positions at Amazon.com, Inc., including Senior Vice President of Worldwide Architecture and Platform Software and Chief Information Officer from 2001 to 2007, Senior Vice President and Chief Information Officer from 2000 to 2001 and Vice President and Chief Information Officer from 1997 to 2000. Prior to his employment with Amazon.com, Inc., Mr. Dalzell was Vice President of the Information Systems Division at Wal-Mart Stores, Inc. from 1994 to 1997. He has served on the board of directors of Twilio, Inc. since 2014, where serves on the Compensation Committee and the Nominating and Governance Committee. Mr. Dalzell was a director of AOL.com, Inc. from 2009 until it was acquired by Verizon Communications Inc. in 2015. Mr. Dalzell holds a Bachelor of Science degree in Engineering from the United States Military Academy at West Point.

Ms. Liu has been an Intuit director since 2017 and is member of the Acquisition Committee and the Compensation and Organizational Development Committee. Ms. Liu has served as the Chief Executive Officer of Ancestry.com LLC, a family history and consumer genomics company, since March 2021 and also is a member of its Board of Directors. Prior to joining Ancestry, Ms. Liu held various roles at Facebook since July 2009, most recently as the Vice President of FB App Commerce. She helped create Facebook’s commerce and payments businesses as Vice President, Marketplace beginning in August 2017, prior to which she served as Vice President, Platform and Marketplace from October 2015 to July 2017. She served as Director of Product Management from February 2014 to September 2015, during which time she led the development of Facebook’s first mobile ad product for apps and Audience Network. She also built the company’s games business and its payments platform. Ms. Liu has worked in the tech industry for over 18 years. Prior to Facebook, she spent several years in product roles at PayPal and eBay, including leading the integration between the two products. Actively involved with promoting diversity and women in tech, she is the founder of Women in Product, a nonprofit to connect and support women in the product management field. She also holds several payments and commerce-related patents. Ms. Liu has a Bachelor of Science degree in Civil Engineering from Duke University and a Master of Business Administration degree from Stanford’s Graduate School of Business.

During his 14 years with the company, Goodarzi has successfully led each of Intuit’s largest businesses. Most recently, Goodarzi served as executive vice president and general manager of Intuit's Small Business and Self-Employed Group. Previously, he served as executive vice president and general manager of Intuit’s Consumer Tax Group, as Intuit’s chief information officer, as the general manager of Intuit’s ProTax organization, and as the general manager of Intuit’s Financial Services Division.

Before coming to Intuit, Goodarzi worked for Invensys, a global provider of industrial automation, transportation and controls technology, serving as global president of the products group. He also held a number of senior leadership roles in the automation control division at Honeywell and served as the chief executive officer and co-founder of a technology startup, Lazer Cables Inc.

Born in Tehran, Iran, Goodarzi came to United State as a child and grew up in Orlando, Florida. He currently lives in the San Francisco Bay Area with his wife and two children. He earned his bachelor's degree in electrical engineering at the University of Central Florida and a master's in business administration from the Kellogg School of Management at Northwestern University. Goodarzi is also a member of the board of directors at Intuit and Atlassian.

Ms. Mawakana has been an Intuit director since 2020 and is member of the Nominating and Governance Committee and the Compensation and Organizational Development Committee. Ms. Mawakana is co-Chief Executive Officer of Waymo LLC, an autonomous driving technology company. She previously served as Chief Operating Officer of Waymo from September 2019 to April 2021 and, prior to that role, served as Waymo’s Chief External Officer from May 2018 to September 2019 and Global Head of Policy from March 2017 to April 2018. Prior to joining Waymo, Ms. Mawakana served as Vice President, Global Government Relations and Public Policy at eBay from February 2016 to March 2017 and Vice President and Deputy General Counsel, Global Public Policy at Yahoo from May 2013 to January 2016. Ms. Mawakana previously served on the Board of Industry Leaders of the Consumer Technology Association and as the Chair of the Board of Directors of the Internet Association. She started her career at the DC-based law firm Steptoe & Johnson LLP. She received her JD from Columbia Law School and her BA from Trinity College (now Trinity Washington University).

Ms. Nora Johnson has served as Board Chair of Intuit since January 2022. Ms. Nora Johnson has been an Intuit director since 2007 and served as lead independent director from January 2016 to January 2022. She is Chair of the Compensation and Organizational Development Committee and is a member of the Nominating and Governance Committee. She has also served as a member of the Acquisition Committee as well as the Audit and Risk Committee in the past. Ms. Nora Johnson joined The Goldman Sachs Group in 1985 and held several management positions throughout her tenure including: Vice Chair, Chair of the Global Markets Institute, and Head of the Global Investments Research Division. Ms. Nora Johnson has been a member of the board of directors of Pfizer Inc. since 2007. She served on the board of directors of American International Group, Inc. from 2008 to 2020 and on VISA Inc.’s board of directors from 2007 to early 2022. Ms. Nora Johnson’s significant non-profit board affiliations include, among others, the Brookings Institution, the Markle Foundation and the University of Southern California. Ms. Nora Johnson earned a Bachelor’s degree from the University of Southern California and a Juris Doctor from Harvard Law School.

Ryan Roslansky has been an Intuit director since 2023 and is a member of the Acquisition Committee and the Compensation and Organizational Development Committee. Mr. Roslansky is the CEO of LinkedIn, the world’s largest and most powerful network of professionals. Mr. Roslansky joined LinkedIn in 2009 and has since held leadership roles in every part of LinkedIn’s business. He led the evolution of LinkedIn’s products into a single, holistics, global ecosystem. Under his leadership, LinkedIn has also seen record levels of engagement on the platform and accelerated growth across the company. Prior to becoming CEO of LinkedIn in June 2020, Mr. Roslansky held the role of global head of product where he oversaw all teams responsible for building and creating the next generation of LinkedIn products and experiences. He set the company’s product strategy and oversaw product development, user experience, business development, and customer operations. He has also held leadership positions across the R&D organization, helping to launch new experiences including the simplification of the new LinkedIn desktop design and mobile app, and the launch of LinkedIn Learning. He has also played pivotal roles across the company’s key acquisitions, including Lynda.com, SlideShare (acquired by Scribd in 2020), and Pulse. Prior to LinkedIn, Mr. Roslansky was senior vice president of products at Glam Media, and held various product and general management positions at Yahoo!, including spearheading the acquisition of Overture in 2003.

Mr. Szkutak has been an Intuit director since 2018 and is the chair of the Audit and Risk Committee and a member of the Nominating and Governance Committee. Mr. Szkutak was the former senior vice president and chief financial officer at Amazon.com from 2002 to 2015. Prior to that, he spent 20 years with General Electric, where he held a variety of positions, including Chief Financial Officer of GE Lighting from 2001 to 2002, Finance Director of GE Plastics Europe from 1999 to 2001, and Executive Vice President of Finance at GE Asset Management (formerly known as GE Investments) from 1997 to 1999. He previously served on the boards of directors of Zendesk, Inc. from 2019 to August 2022 and athenahealth, Inc. from June 2016 to February 2019, serving as chair of the audit committee for each company. He also has served as an advisor and operating partner of Advent International, a global private equity firm, since August 2017. He is a graduate of GE’s financial management program. Mr. Szkutak holds a Bachelor of Science in Business Administration degree from Boston University.

Mr. Vasquez has been an Intuit director since 2016 and is member of the Acquisition Committee and the Audit and Risk Committee. Raul Vazquez has served as chief executive officer and board member of Oportun, a financial technology company since April 2012. Prior to joining Oportun, he spent nine years at Walmart in various senior leadership roles, including Executive Vice President and President of Walmart West, Chief Executive Officer of Walmart.com, and Executive Vice President of Global eCommerce for developed markets. Mr. Vazquez previously worked in startup companies in e-commerce, at a global strategy consulting firm focused on Fortune 100 companies, and as an industrial engineer for Baxter Healthcare. Mr. Vazquez served as a member of the board of directors of Staples, Inc. from 2013 to June 2016. He also served as chairman of the Federal Reserve Board’s Community Advisory Council from September 2015 to November 2017. Mr. Vazquez served on the Consumer Financial Protection Bureau’s Consumer Advisory Board from August 2016 until June 2018. Mr. Vazquez received a Bachelor of Science degree and a Master of Science degree in industrial engineering from Stanford University and a Master’s degree in Business Administration from The Wharton School at the University of Pennsylvania.

Eric Yuan has been an Intuit director since 2023 and is a member of the Audit and Risk Committee and the Nomination and Governance Committee. Mr. Yuan is the CEO and founder of Zoom Video Communications, which he founded in 2011 to bring people together in a frictionless video environment. Prior to founding Zoom, he was corporate vice president of engineering at Cisco, where he was responsible for Cisco's collaboration software development. Mr. Yuan was also one of the founding engineers and vice president of engineering at Webex, which was acquired by Cisco. Time Magazine named him its 2020 Businessperson of Year, as well as one of the 100 Most Influential People of 2020.
